1. Introduction and electronic record
These terms and conditions ("Terms") apply to your use of the Veer Enterprise website and to any services you buy from us. In these Terms, "Veer Enterprise", "we", "us" and "our" mean Veer Enterprise, and "you" and "your" mean the person or business using the website or our services.
This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is generated by a computer system and does not need a physical or digital signature.
2. Acceptance of these Terms
By visiting this website, submitting an enquiry or engaging us for services, you agree to these Terms and to our Privacy policy and Refund policy. If you do not agree, please do not use the website or our services.
We may update these Terms from time to time. The updated version applies from the date shown at the top of this page. Continuing to use the website or our services after an update means you accept the updated Terms.
3. Our services
Veer Enterprise provides software development services, including web application development, SaaS development, design, integrations, hosting setup, maintenance and support. The exact deliverables, timeline, fees and payment schedule for each project are set out in a written proposal, quotation or agreement ("Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement applies.
4. Your responsibilities
- Provide accurate, complete and current information when you contact us or engage our services.
- Supply content, feedback, approvals and access to accounts or systems on time. Delays on your side may move delivery dates.
- Make sure you have the rights to any text, images, logos, data or other material you give us to use.
- Keep any login details we provide confidential and tell us promptly about any unauthorised use.
5. Fees and payment
Fees are stated in the Project Agreement. Unless it says otherwise, projects require an advance payment before work begins, with the balance paid in milestones. Prices exclude applicable taxes such as GST, which are added to invoices where required.
Invoices are due by the date shown on them. We may pause work on a project while payments are overdue. Third-party costs such as domains, hosting, paid APIs and software licences are billed separately or paid by you directly.
6. Changes to scope
Requests for work outside the agreed scope are treated as change requests. We will confirm the extra cost and effect on the timeline in writing before starting any change.
7. Intellectual property
All content on this website, including text, graphics, logos and code, belongs to Veer Enterprise or its licensors and may not be copied or reused without our written permission.
For client projects, once you have paid all fees due, ownership of the custom source code, designs and deliverables created specifically for you transfers to you. We keep ownership of our pre-existing tools, libraries and general know-how, and grant you a non-exclusive, perpetual licence to use any of them included in your deliverables. Open-source components remain under their own licences. Unless you ask us not to, we may mention your project in our portfolio without revealing confidential information.
8. Confidentiality
We keep your business information, ideas and data confidential and use them only to deliver our services. We are happy to sign a separate non-disclosure agreement on request.
9. Prohibited uses
You must not use this website or our services to:
- break any applicable law or regulation;
- build, host or distribute unlawful, fraudulent, harmful, defamatory or infringing material;
- try to gain unauthorised access to our systems or interfere with their security or operation;
- upload viruses or other malicious code; or
- collect other people's personal data without their consent.
We may refuse or stop work on any project that we reasonably believe breaches this section.
10. Third-party links and services
This website and the products we build may link to or rely on third-party websites and services, such as hosting providers, payment gateways and APIs. We do not control and are not responsible for their content, availability, policies or charges. Your use of them is governed by their own terms.
11. Warranties and disclaimers
We carry out our services with reasonable skill and care. We will fix defects in our deliverables that are reported within 30 days of final delivery, unless the Project Agreement says otherwise. This does not cover issues caused by changes made by others, third-party services or misuse.
Apart from this, the website and our services are provided "as is". We do not guarantee that any software will be completely error-free or uninterrupted, or that it will achieve particular business results.
12. Limitation of liability
To the extent permitted by law, Veer Enterprise is not liable for any indirect, incidental or consequential loss, including loss of profit, revenue, data or business opportunity. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three months before the claim arose.
13. Indemnity
You agree to indemnify and hold harmless Veer Enterprise and its team from any claims, losses, damages and costs, including reasonable legal fees, that arise from your breach of these Terms, your breach of any law, or material you provided to us that infringes someone else's rights.
14. Termination
Either party may end a project by written notice if the other party seriously breaches these Terms or the Project Agreement and does not fix the breach within 14 days. If a project ends early, you pay for work completed up to the termination date, and refunds are handled under our Refund policy.
15. Force majeure
Neither party is responsible for delays or failure to perform caused by events outside its reasonable control, such as natural disasters, epidemics, war, government action, strikes, power or internet outages, or failures of third-party providers.
16. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that does not resolve it within 30 days, the courts in India shall have exclusive jurisdiction.
